Corporate Secretarial Services – Role Overview
The incumbent will be responsible for managing a portfolio of clients and providing a full range of corporate secretarial services, ensuring compliance with applicable statutory and regulatory requirements in Singapore and relevant overseas jurisdictions. The role also involves providing corporate secretarial advice to clients and undertaking the responsibilities of a Qualified Individual (QI) for the company.
Key Responsibilities
· Manage a portfolio of corporate clients and oversee their day-to-day corporate secretarial requirements.
· Provide comprehensive corporate secretarial services, including:
o Incorporation of companies and registration of foreign branches and representative offices
o Applications for striking off and cessation of companies
o Preparation and maintenance of directors’ and shareholders’ resolutions and other corporate documents
o Administration of Employment Pass, S Pass and other relevant work pass applications
o Assistance with corporate bank account opening, changes in bank signatories and related banking matters
· Maintain and update statutory registers, records and corporate documents, and ensuretimely and accurate filing of statutory returns with ACRA.
· Monitorand ensure compliance with applicable legislation, regulatory requirements and corporate governance standards for both the company and its clients.
· Act as the company’s Qualified Individual (QI), overseeing relevant regulatory filings and ensuring that applicable compliance obligations are properly discharged.
· Provide professional advice and guidance to clients on corporate secretarial matters, regulatory requirements, corporate governance and best practices.
· Provide corporate secretarial and compliance support for offshore entities, including companies incorporated in the Cayman Islands and British Virgin Islands (BVI).
· Providecorporate secretarial support for Singapore Variable Capital Companies (VCCs),including maintaining statutory registers, preparing corporate resolutions, making the necessary ACRA filings, and supporting compliance with applicable MAS and regulatory requirements.
· Undertake other corporate, administrative and ad-hoc assignments as required to meet business and client needs.
Qualifications& Skills
· Degree or Diploma in Business Administration, Law or a related discipline. ACIS qualification and relevant corporate secretarial experience would be advantageous.
· Strong working knowledge of the Singapore Companies Act, ACRA requirements, VCCregulations and corporate governance practices.
· Hands-on experience with BizFile+ and corporate statutory filings.
· Knowledge and experience in managing offshore corporate structures, particularly Cayman Islands and BVI entities, and their related compliance requirements.
· Strong advisory and problem-solving skills, with the ability to provide practical guidance on corporate secretarial, regulatory and governance matters.
· Excellent organizational, communication and client relationship management skills.
· Highly organized, detail-oriented and able to work independently while effectively managing multiple clients, deadlines and competing priorities.
