Chief Financial Officer (M&A / Strategic Growth / Financial Strategy)

Our client, an established company within a diversified group, is seeking a commercially driven Chief Financial Officer to lead its finance function, support Nasdaq-related reporting and compliance, and drive acquisition-led growth.
As the company expands into corporate secretarial and professional services, the CFO will play a key role in evaluating acquisitions, executing cross-border transactions and integrating acquired businesses. The role requires practical knowledge of Nasdaq listing rules, SEC reporting requirements and US public-company governance.
Key Responsibilities
Nasdaq Compliance and Corporate Governance
Oversee the finance function’s contribution to applicable Nasdaq and SEC obligations, ensuring accurate, timely financial reporting and disclosures.
Coordinate SEC reporting with group management, US legal counsel and auditors, including Form 20-F and Form 6-K, or other applicable reporting forms.
Monitor Nasdaq continued-listing requirements and advise management on financial compliance risks and corrective actions.
Strengthen disclosure controls and internal controls over financial reporting, supporting applicable Sarbanes-Oxley requirements.
Coordinate audits with PCAOB-registered auditors and address accounting, audit and control deficiencies.
Support the Board and Audit Committee on financial governance, related-party transactions and the reporting implications of acquisitions, financing and corporate actions.
M&A and Strategic Growth
Partner with the Board to develop and execute acquisition and portfolio-growth strategies.
Lead financial due diligence, valuation, financial modelling and risk assessment of acquisition targets.
Assess transaction structures, funding requirements, investment returns and cross-border financial risks.
Support negotiations and coordinate lawyers, auditors, tax advisers, financial institutions and other transaction partners.
Lead post-acquisition financial integration, including consolidation, reporting alignment, controls and performance monitoring.
Financial Leadership
Lead budgeting, forecasting, treasury, cash-flow management and financing initiatives.
Deliver timely management reports, business analysis and strategic recommendations to the Board.
Oversee group financial reporting, taxation, statutory audits and local compliance.
Strengthen financial policies, cost control, risk management and operational efficiency.
Lead and develop finance teams across the company and its subsidiaries.
Candidate Requirements
Bachelor’s degree in Accounting, Finance or a related discipline.
At least 8 years of progressive finance experience, including 3 years as a CFO, Finance Director or equivalent senior finance leader.
Practical familiarity with Nasdaq listing rules, SEC reporting obligations and US public-company governance is essential.
Demonstrated involvement in US-listed financial reporting, regulatory submissions or ongoing compliance, with the ability to explain personal responsibilities and deliverables.
Strong knowledge of US GAAP and/or IFRS, with the ability to apply the relevant reporting framework to a US-listed group.
Familiarity with PCAOB audit requirements, disclosure controls and applicable Sarbanes-Oxley requirements.
Proven experience in M&A or cross-border transactions, including financial due diligence, valuation and deal assessment.
Practical experience in post-acquisition financial integration and group consolidation.
Strong command of budgeting, treasury, taxation, audit and internal controls.
Commercial judgement and the ability to present clear recommendations to the Board.
Strong English communication skills and experience working with overseas advisers.
Hands-on, adaptable and comfortable operating in a growing business environment.
Preferred Experience
Direct finance leadership within a Nasdaq-listed company or responsibility for supporting its reporting obligations.
Completed acquisitions involving US or other overseas businesses.
Experience in corporate secretarial, accounting, corporate services or professional-services businesses.
IPO execution, capital raising or corporate restructuring experience.
Big Four audit, transaction advisory, corporate finance, investment banking or private-equity experience.
CA, CPA, ACCA, CFA or an equivalent professional qualification.
