Corporate Legal Specialist

Novatek Gas and Power Asia Pte. Ltd. opens a position of Corporate Legal Specialist in Singapore. The Corporate Legal Specialist is a newly established role created to strengthen the Company's corporate governance function. The role is responsible for coordinating corporate governance matters and ensuring the timely preparation, review, execution, and maintenance of corporate documentation between the Company, headquarters, affiliates, and external corporate secretaries.
Key Responsibilities
- Coordinate the preparation, execution, and filing of corporate documents with headquarters, internal stakeholders, and external corporate secretaries.
- Review corporate documentation, including board and shareholder resolutions, powers of attorney, constitutional documents, and statutory filings.
- Coordinate corporate actions and monitor progress to ensure timely completion and regulatory compliance.
- Maintain corporate records, statutory registers, governance documents, and legal databases in an accurate and organized manner.
- Coordinate approvals and execution of corporate documents, including obtaining signatures from authorized signatories.
- Plan and administer Board of Directors' meetings, including preparation of agendas, board papers, meeting notices, resolutions, and comprehensive minutes.
- Advise management and directors on corporate governance, directors' duties, and compliance with the Singapore Companies Act and other applicable regulations.
- Review governance processes, identify legal and governance risks, recommend and implement improvements.
- Ensure confidentiality of sensitive corporate information and provide general corporate legal support to the Legal Department.
Requirements
- University Degree.
- 5+ years of experience in corporate legal, corporate secretarial, or related functions.
- Solid knowledge of Company's Act, corporate governance principles and corporate documentation.
- Prior experience in establishing or strengthening corporate governance structures and corporate compliance processes would be an advantage.
- Strong attention to detail with the ability to identify inconsistencies in legal documents.
- Self-motivated, with the ability to work independently and achieve results.
- Excellent organizational and document management skills.
- Ability to manage multiple matters simultaneously while meeting deadlines.
- Strong written and verbal communication skills in English.
