In House Legal Counsel

Key Responsibilities

• Advise on private equity transactions, including acquisitions, disposals, joint ventures, and minority investments.
• Draft, review, and negotiate a wide range of transactional documents (SPAs, shareholders’ agreements, investment agreements, NDAs, term sheets).
• Support fund formation and structuring activities, including reviewing fund documents, regulatory filings, and investor documentation.
• Manage and coordinate with external counsel across multiple jurisdictions.
• Provide legal support on portfolio management, corporate governance, and compliance matters.
• Assist with regulatory and licensing matters relevant to the firm’s operations in Singapore and abroad.
• Develop and maintain internal legal processes, templates, and risk‑management frameworks.

Requirements

• Singapore ‑qualified lawyer with 2–5 years PQE from a reputable law firm or in‑house legal team.
• Strong experience in M&A, private equity, or corporate transactions.
• Exposure to cross‑border deals is essential.
• Experience in fund formation, funds regulatory work, or investment management is a strong advantage.
• Excellent drafting, negotiation, and communication skills.
• Ability to work independently in a fast‑paced, entrepreneurial environment.
• Strong commercial judgment and a solutions‑oriented mindset.
• Strong command of spoken and written English; good verbal and written communication ability in Chinese.
• Graduated from a world-renowned university
